• Promotion Conditions.

  You acknowledge, agree and understand that:

  • Your participation is free, voluntary, and subject to our approval;

  • Promotional benefits may be restricted to certain merchants, services or products;

  • Our offer is void where prohibited by law;

  • Our offer is for individuals capable of being bound by these Terms (i.e., of sound mind and able to assent to our terms);

  • We reserve the right to deny you a promotional benefit for any reason, including suspicion of abuse or failure to maintain a Plentyi account in good standing;

  • In case of multiple offers, we may determine the number of winners;

  • All promotions are a limited-time offer, and subject to change without notice;

  • Our offers are non-transferable, non-assignable, and may not be resold.

• Rights to Use.

  You hereby grant us a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into our business, any comments, photos, information, and feedback provided by you. For instance, if you are a winner, you grant us a right to use your information to promote your experience.

• Third Parties

  • Platforms.

    Our promotion may be offered on a third-party platform, such as a social media site. Unless we state otherwise, our promotions are not sponsored, endorsed, or administered by, or associated with those platforms. Where we own the platform page, you agree that you are providing your information to us, and not the platform.

  • Terms.

    We may offer you benefits available through third parties. You acknowledge, agree and understand that the terms and conditions for those third-party benefits are subject to any terms provided by that third-party for the benefit.

• Indemnity.

  You agree to indemnify and hold us, our managers, members, officers, employees, agents and representatives harmless from any loss, liability, claim or demand, including reasonable attorneys’ fees and costs, due to or arising out of your violation of these Terms.

• Venue and Choice of Law.

  This Agreement will be governed by New York law, without reference to its choice of law rules. Exclusive jurisdiction over and venue of any suit arising out of these Terms will be in the state and federal courts in New York County, and each of the parties’ consents to the personal jurisdiction of, and venue in, those courts.

• Modifications.

  We may modify these Terms from time to time in our sole discretion without prior notice to you.

• Entire Agreement.

  You agree that these Terms constitute the entire agreement between you and us with respect to your participation in our promotion. Our failure to exercise or enforce any right or provision under these Terms will not constitute a waiver of such right or provision by us. No agency, partnership, joint venture, employee-employer or franchisee-franchisor relationship is intended or created by these Terms. If a provision of these Terms is held invalid under applicable law, such invalidity will not affect any other provision of these Terms that can be given effect.
